As an inducement to enter into the merger agreement each director and executive officer entered into a separate tender and support agreement whereby they agreed to tender their shares and, if necessary, vote in favor of the merger. As of November 16, 2009, they collectively have the power to vote approximately 32% of the outstanding shares of Semitool common stock.
