BALA CYNWYD – (BUSSINESS WIRE) Law office of Brodsky & Smith, LLC announces that it is investigating potential claims against the Board of Directors of Spark Networks, Inc. (“Spark” or the “Company”) (AMEX: LOV – News) relating to the proposed acquisition by Great Hill Partners III, LP. (“Great Hill”) Under the terms of the offer, Spark shareholders would receive cash of $3.10 for each share of Spark stock they own.
The investigation concerns possible breaches of fiduciary duty and other violations of state law. The Company has appointed a special committee of independent directors to consider the proposal by Great Hill. The transaction appears to be unfair, in part, given that Spark stock was trading at $3.38 a share as recently as March 8, 2010 and was trading at $3.04 a share on February 12, 2010
